Explanation
Section 248 of the Companies Act 2013 allows a company to apply to the ROC for striking off its name. Pre-conditions: the company must have no assets or liabilities, no pending legal proceedings, have filed all pending returns and paid all dues. The company files STK-2 with a board resolution and indemnity bond. The ROC publishes a notice and strikes off the name after 30 days if no objection. Alternatively, the ROC can suo motu strike off companies not filing returns for 2+ consecutive years under Section 248(1). Note: STK-2 is NOT available to banks, NBFCs, insurance companies, or companies with pending government schemes. Verify on the MCA V3 portal.
